ClapNow - Terms and Conditions

These Terms and Conditions ("Terms") govern your access to and use of the ClapNow platform (the "Platform"), a service operated by ClapNow for the purpose of hosting live auctions and facilitating the sale of limited-supply items including, but not limited to, sneakers, collectibles, thrift fashion, and art. By using the Platform, you agree to be bound by these Terms.

1. Definitions

• "ClapNow" refers to the operator of the platform and its affiliates.
• "User" refers to any individual or business accessing or using the Platform, including both buyers and sellers.
• "Seller" refers to a user who lists and sells products via live auctions on the Platform.
• "Buyer" refers to a user who places bids and purchases items on the Platform.

2. Platform Overview

ClapNow provides an online platform that facilitates live product auctions for the sale of limited-supply items including, but not limited to, sneakers, collectibles, thrift fashion, and art. Sellers can host timed auction sessions to showcase and sell products to Buyers who bid in real-time. ClapNow acts solely as a technology service provider and marketplace facilitator, and does not own, control, or take responsibility for the items listed or sold by users on the Platform.

3. Account Registration and Eligibility

• Users must be at least 18 years of age to use the Platform.
• Users agree to provide accurate, complete, and up-to-date information during registration.
• ClapNow reserves the right to suspend or terminate any account that is in breach of these Terms or any applicable laws.

4. Seller Obligations

Sellers using ClapNow must:

• Accurately describe items, including details on authenticity and condition.
• Conduct auctions professionally and fulfill successful sales promptly, including packaging and shipping.
• Be solely responsible for ensuring delivery to the Buyer.
• Not sell counterfeit, illegal, or misrepresented items.

5. Buyer Obligations

Buyers using ClapNow must:

• Ensure they have the legal capacity to enter into transactions.
• Make payment promptly after winning an auction.
• Not engage in fake bidding or fraudulent activity.

6. Payments and Commission

• Payment from the Buyer will be collected by ClapNow upon the completion of an auction.
• ClapNow will hold the payment until delivery of the product is confirmed.
• Upon confirmation of successful delivery, ClapNow shall deduct a 2% commission from the final sale price (Gross Merchandise Value - GMV) and release the remaining funds to the Seller.
• The Seller is solely responsible for ensuring delivery of the product to the Buyer.
• ClapNow will act as a neutral party in the event of a transaction dispute, ensuring a fair resolution after hearing from both parties.
• ClapNow provides payment services through a third-party service provider ("Payment Processors" or "Gateways") for all transactions made through the Platform. Buyers and Sellers will be subject to and must comply with such Payment Processor's separate terms and conditions.

7. Refunds

Refunds are subject to disputes raised by the Buyer and will be settled by ClapNow in a neutral capacity. ClapNow will evaluate both the Buyer's and Seller's inputs and may approve or deny a refund based on the merits of the case. ClapNow's decision is final unless otherwise required by law.

8. Prohibited Conduct

Users agree not to:

• Violate any local, state, or international laws.
• Post or auction prohibited items (e.g., weapons, drugs, stolen goods).
• Use automated tools or bots to manipulate bidding or performance.
• Harass, impersonate, or abuse other users.
• Attempt to reverse-engineer or disrupt Platform functionality.

9. Intellectual Property

All content and technology on the Platform is the property of ClapNow. Users may not copy, modify, distribute, or use any part of the Platform except as permitted under these Terms.

10. Indemnification

Users agree to indemnify, defend, and hold harmless ClapNow and its affiliates, officers, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including legal fees) arising out of:

• Their use or misuse of the Platform,
• Violation of these Terms,
• Infringement of third-party rights, or
• Any transaction conducted through the Platform.

11. Force Majeure

ClapNow shall not be held liable for any failure or delay in performance caused by circumstances beyond its reasonable control, including but not limited to natural disasters, internet outages, cyberattacks, legal restrictions, or government actions.

12. Limitation of Liability and Disclaimer

• ClapNow provides the Platform on an "as is" and "as available" basis without warranties of any kind.
• ClapNow is not a party to any sale agreement between users and does not guarantee product authenticity, quality, or successful delivery.
• To the maximum extent permitted by law, ClapNow shall not be liable for any indirect, incidental, or consequential damages.

13. Termination

ClapNow may suspend or terminate access to the Platform at its discretion for violations of these Terms. Users may also request account closure by contacting ClapNow support.

14. Changes to the Terms

ClapNow may update these Terms at any time. Users will be notified of material changes. Continued use of the Platform after updates constitutes acceptance of the new Terms.

15. Governing Law

These Terms shall be governed and interpreted in accordance with the laws of India. All disputes shall be subject to the exclusive jurisdiction of the courts in Bangalore, India.
